These Website Terms of Use (the “Terms”) govern your access to and use of the website located at axisvoice.com (the “Site”) operated by Axisco Limited (Company No. 719359), trading as AxisVoice (“AxisVoice”, “we”, “us”, “our”).

These Terms apply only to your use of this Site and its content, including account registration, demo requests, and general information about our products and services.

Separate Terms for AxisVoice Service

This website provides information about AxisVoice, our AI-powered phone assistant service. If you sign up for the AxisVoice service, you will be subject to a separate AxisVoice Service Agreement that governs your use of the actual service.

Related products in the Axis ecosystem (such as AxisPay and AxisPass) have their own separate terms and conditions.

In the event of any conflict between these Website Terms and service-specific terms, the service-specific terms shall prevail for that service.

2. Acceptance of Terms

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

4. Beta Program & Waitlist

You may join our beta program waitlist by providing your contact information through our website. By joining the waitlist, you agree to:

• Receive communications from us about the beta program and AxisVoice service
• Understand that beta access is subject to availability and selection criteria

If you are selected for beta access, you will receive separate terms and conditions governing your participation in the beta program and use of the AxisVoice service.

We (or our licensors) own all intellectual property rights in the Site and the material published on it, including but not limited to:

• Logos, trademarks, and brand names (including "AxisPay", "AxisVoice", and "AxisPass")

• Your violation of any rights of another person or entity
• Your violation of any applicable law or regulation

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

The Irish courts shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

13. Dispute Resolution

We are committed to resolving disputes in a fair and efficient manner. If you have a complaint or dispute arising from your use of the Site, we encourage you to contact us first at inquiries@axisvoice.com so we can attempt to resolve the matter informally.

If we are unable to resolve a dispute informally within 30 days, either party may pursue formal legal remedies in accordance with the Governing Law & Jurisdiction clause above.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. General Provisions

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Axisco Limited regarding your use of the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate any of our rights and obligations under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Axisco Limited. You have no authority to bind Axisco Limited in any manner whatsoever.
